These terms explain how Medhya International, trading as Medhya Digital, works with clients. They apply to every proposal, quotation, order and project unless a signed agreement says otherwise.
Last updated: 3 November 2026
Who we are and what these terms cover
- "Medhya", "we" and "us" mean Medhya International, trading as Medhya Digital, based in Bengaluru, India. "You" and "the client" mean the person or business that orders services from us.
- We provide website design and development, e-commerce, software and app development, AI automation, digital marketing, SEO, social media management, video editing, AI video ads and brand and content creative.
- By accepting a proposal, paying an invoice or using our services, you agree to these terms.
Proposals, scope and changes
- Each project starts with a written proposal or quotation that lists the services, deliverables, timeline and price. The proposal is valid for the period stated in it.
- Work outside the agreed scope is a change request. We will tell you the effect on price and timeline, and begin the extra work only after you approve it in writing, including by email.
- Timelines depend on you giving us content, feedback and approvals on time. Delays on your side move our dates.
Your responsibilities
- Give us accurate information, content, brand assets, access and approvals when we ask for them.
- Make sure you own or have the right to use everything you give us, including text, images, videos, music, logos and data, and that using it does not break anyone else's rights or any law.
- Keep your login details safe. Access you share with us is used only to deliver the agreed work.
Fees and payment
- Fees, any advance or milestone payments, and due dates are set in the proposal or invoice. Taxes such as GST are charged where applicable.
- Work may pause, and delivery may be withheld, while an invoice is overdue. We may charge interest on late payments at the rate stated in the invoice.
- Advance and milestone payments cover work already planned and started, and are non-refundable unless the proposal says otherwise or we are unable to deliver the service.
- Monthly services such as SEO, social media management and retainers are billed in advance each month and continue until either side ends them under the termination section.
Third-party costs, platforms and tools
- Advertising budgets, domains, hosting, software licences, stock media, payment gateway fees, SMS, email and WhatsApp charges, app store fees and similar costs are separate from our fees unless the proposal includes them.
- Ad spend is paid by you directly to the advertising platform. We plan and manage campaigns but do not control the platform's pricing, policies or decisions.
- We use third-party platforms and open-source tools. Their own terms apply, and we are not responsible for changes, outages or account actions by those providers.
No guarantee of results
- Search rankings, traffic, leads, sales, followers, views and ad performance depend on factors outside our control, such as search engine and platform algorithms, competition, market conditions, budget and your product or offer.
- We apply professional skill and current best practice, but we do not guarantee any particular ranking, number of leads, revenue or return on spend.
Ownership and intellectual property
- On full payment, you own the final deliverables created specifically for you, such as your website design, custom code written for your project, and edited videos and creative.
- We keep ownership of our pre-existing tools, frameworks, templates, code libraries and know-how, and give you a non-exclusive licence to use them as part of your deliverables.
- Third-party and open-source components stay under their own licences. Stock media and fonts are licensed to you as their licences allow.
- Until full payment is received, the deliverables remain our property and you may not use them in production.
- You grant us the right to show completed work, your name and logo in our portfolio and marketing. Tell us in writing if you do not want this, and we will not use confidential material.
AI-assisted work
- Some services, including AI automation, AI video ads and content, use artificial intelligence tools. AI output can contain errors, so we review work before delivery, and you should review it before you publish or rely on it.
- For AI agents, chatbots and automations, you are responsible for the data you connect and for deciding what the system may do on your behalf. We will explain what data a tool processes before we set it up.
Reviews, revisions and acceptance
- The number of revision rounds is stated in the proposal. Further changes are charged as a change request.
- Please review each deliverable and send feedback within the review period in the proposal. Work is treated as accepted when you approve it, publish it, or do not respond within that period.
- After launch, we fix defects in what we delivered, at no charge, for the support period stated in the proposal. New features, content updates, third-party changes and issues caused by edits made by others are not defects.
Confidentiality and data protection
- We keep non-public business information you share with us confidential and use it only to deliver the work. This does not cover information that is already public or that we are legally required to disclose.
- We handle personal data according to applicable Indian law, including the Digital Personal Data Protection Act, 2023, and process it only for the purpose of the project. Where we process your customers' data for you, you remain responsible for having the right to share it with us.
- We take reasonable security measures, but no system is completely secure. Tell us promptly if you suspect a security problem with anything we built or manage for you.
Liability
- We are not liable for indirect or consequential loss, including lost profit, lost business, lost data or loss of goodwill.
- Our total liability for any claim connected to a project is limited to the fees you paid us for that project in the three months before the claim arose, to the extent the law allows.
- Nothing in these terms limits liability that cannot be limited by law.
- You agree to cover claims and costs that arise from content, data or instructions you give us that infringe someone's rights or break the law.
Cancellation and termination
- Either side may end a project or monthly service by giving written notice. Monthly services need the notice period stated in the proposal, or 30 days if none is stated.
- If you cancel, you pay for work completed and costs committed up to the date of cancellation. If we end the agreement because you breached these terms, including non-payment, the same applies.
- Sections covering payment, ownership, confidentiality, liability and governing law continue after the agreement ends.
General
- Neither side is liable for delay caused by events outside its reasonable control, such as natural events, power or internet failure, or government action.
- If any part of these terms is found unenforceable, the rest remains in force.
- These terms, together with the proposal and any signed agreement, are the whole agreement between us. A signed agreement takes priority if it conflicts with these terms.
- We may update these terms. The version in force when you accept a proposal applies to that project, and later updates apply to new projects.
Governing law and disputes
- These terms are governed by the laws of India. We prefer to resolve disagreements through discussion first. Courts at Bengaluru, Karnataka have jurisdiction over disputes we cannot settle that way.
